Terms of Service

These Terms of Service ("Terms") govern your access to and use of Formcatch (the "Service"), operated by MGM LLC (MGM合同会社) ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Formcatch receives submissions from web forms you connect to it, stores them, and notifies you by email, Slack, and a dashboard. Features and limits may change over time.

2. Accounts

You are responsible for your account, credentials, and all activity under it. Provide accurate information and keep your password secure.

3. Acceptable use

You may not use the Service to send spam, collect data unlawfully, violate others' rights, or for any illegal or harmful purpose. You are solely responsible for the forms you create, the data submitted through them, and for obtaining any consent required from the people who submit data ("End Users").

4. Your data and End User data

You retain ownership of the data submitted through your forms. You grant us a limited license to host and process that data solely to provide the Service. As between you and us, you are the data controller of End User data and we act as a data processor on your behalf. You represent that you have a lawful basis to collect and process such data. 5. Plans, billing and refunds

Paid plans are billed in advance on a recurring basis via Stripe and renew automatically until cancelled. You can cancel anytime; access continues until the end of the paid period. Except where required by law, fees are non-refundable. We may change prices with notice; changes apply to subsequent billing periods.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, that messages or notifications will always be delivered, or that no data will be lost. You are responsible for keeping your own backups of important submissions.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

8. Indemnification

You agree to indemnify and hold harmless MGM LLC from any claims, damages, or expenses arising from your use of the Service, your forms or data, or your violation of these Terms or applicable law.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. Upon termination, your right to use the Service ends.

10. Changes

We may update these Terms. Material changes will be reflected by the "Last updated" date; continued use constitutes acceptance.

11. Governing law and jurisdiction

These Terms are governed by the laws of Japan. Any dispute will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
